Green Hills Software Implements Expansion Plan to Meet Increasing Demand

Six New Sales Offices and Several Executive Appointments Position Company for Continued Growth
San Francisco, April 22, 2003 -- Green Hills Software, Inc., the world's second largest real-time operating system company, today announced an expansion plan which addresses the increasing demand for the company's products and services.

The first part of the expansion plan involves the recent opening of six new sales offices across North America, with a seventh office planned for next quarter. These new offices are staffed with sales professionals and field applications engineers, enabling Green Hills Software's growing list of customers easy access to product solutions and technical support. The offices will be located in Atlanta, Dayton, Chicago, Phoenix, Seattle and Ottawa/Montreal, Canada.

To better address the needs of Green Hills Software and its customers during this phase of growth and expansion, the company also announced two appointments to its executive team:

Jack Douglas has joined Green Hills as the vice chairman of the board of directors. Jack has 25 years of business experience and more than 15 years in senior executive positions at Reebok, Apple Computer and Millennium Pharmaceuticals. Mr. Douglas will be working with the company on strategic planning, legal, intellectual property, human resources, government relations and investor relations. His role will be instrumental in achieving the company's goals for growth and positioning including a future initial public offering.

Christopher Smith has been promoted to vice president of Marketing. For the past five years, Mr. Smith has been in charge of European marketing operations. During that time, he has dramatically raised the profile of Green Hills Software in Europe and this has contributed significantly to an expanded customer base and revenue growth in European and other International Regions even during the downturn in the global economy.

"The increased demand for Green Hills Software's products, including the INTEGRITY real-time operating system (RTOS) and MULTI integrated development environment (IDE), has driven our expansion," explained David Chandler, vice president of sales, Green Hills Software, Inc. "Projects that require quick time to market and a high level of security are key in today's market. Since our products and services easily meet these needs, we've see an enormous increase in the number of calls and opportunities."

The expansion is expected to continue into 2003. Several positions are open in both sales and field engineering and with first quarter 2003 numbers outperforming last year, additional openings are anticipated throughout 2003.
